Terms of Service

Please read these Terms of Service ("Terms") carefully before using the FACTUM application or website (the "Service") operated by Dons Systems ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading the FACTUM app, or accessing getfactum.app, you confirm that you are at least 16 years old and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

2. Description of Service

FACTUM is an AI-powered accountability coaching application. The Service provides:

• Goal setting and mission management tools
• AI coaching personas that monitor your goals and request evidence of completion
• Evidence analysis using AI models to verify mission completion (photos, screenshots, audio)
• A structured accountability system including strike tracking and goal closure
• Weekly performance reports and compliance metrics

The Service is provided on a subscription basis. A 14-day free trial is available for new users.

3. Subscription and Billing

Free Trial

New accounts receive a 14-day free trial. No credit card is required to start the trial. You will not be charged unless you choose to continue after the trial ends.

Subscription Plans

• Plan Base: $14.99/month — 1 active goal, dedicated coach, AI evidence analysis, 5-strike system, weekly report
• Plan Pro: $24.99/month — unlimited goals, all 10 coaches, deep AI analysis, DONS master coach

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. Your payment method will be charged through the Apple App Store or Google Play Store.

Cancellation Policy

You may cancel your subscription at any time through your App Store settings (iOS) or Google Play account (Android). Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a subscription period, except where required by applicable law.

Price Changes

We may change subscription prices with 30 days notice. Continued use after price changes take effect constitutes acceptance of the new pricing.

4. User Conduct

You agree not to use the Service to:

• Submit false, misleading, or fabricated evidence to your AI coach
• Attempt to manipulate or deceive the AI analysis systems
• Reverse engineer, decompile, or attempt to extract the source code of the app
• Use the Service for any unlawful purpose or in violation of any regulations
• Impersonate any person or entity or misrepresent your affiliation
• Transmit harmful, offensive, or illegal content through the Service
• Attempt to gain unauthorized access to other users' accounts or data

We reserve the right to suspend or terminate accounts that violate these conduct standards, at our sole discretion.

5. AI-Generated Content Disclaimer

FACTUM's coaching personas (YELI, ATLAS, LUNA, REX, DANTE, NOVA, KAI, ZEUS, IVY, MARC, and DONS) are artificial intelligence characters. Their responses are generated by AI models and do not constitute professional advice of any kind — including but not limited to financial, medical, psychological, or legal advice.

• AI coaching responses may be inaccurate, incomplete, or inappropriate for your specific situation
• The accountability system is a tool for personal motivation only
• Always consult qualified professionals for decisions with significant consequences
• We are not liable for decisions made based on AI coaching interactions

AI-generated content is provided "as is" without warranty of any kind. Your use of AI coach interactions is at your own risk.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the FACTUM name, coach personas, interface design, and AI systems — are owned by Dons Systems and protected by intellectual property laws.

You retain ownership of content you submit (photos, audio, goal descriptions). By submitting content, you grant us a limited license to process and analyze it solely to provide the Service.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Dons Systems shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities arising from use of the Service
• Decisions made based on AI coaching content or recommendations
• Service interruptions, errors, or data loss due to technical issues
• Actions taken by the automated accountability system (strike enforcement, goal closure)

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee that the AI analysis system will accurately verify every piece of evidence submitted.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms. You may delete your account at any time from within the app. Upon termination, your data will be handled per our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration, except where prohibited by law.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 15 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
